Book Description

A new framework for helping nonprofit organizations maximize the effectiveness of their boards.

Written by noted consultants and researchers attuned to the needs of practitioners, Governance as Leadership redefines nonprofit governance. It provides a powerful framework for a new covenant between trustees and executives: more macrogovernance in exchange for less micromanagement.

Informed by theories that have transformed the practice of organizational leadership, this book sheds new light on the traditional fiduciary and strategic work of the board and introduces a critical third dimension of effective trusteeship: generative governance. It serves boards as both a resource of fresh approaches to familiar territory and a lucid guide to important new territory, and provides a road map that leads nonprofit trustees and executives to governance as leadership.

Governance as Leadership was developed in collaboration with BoardSource, the premier resource for practical information, tools and best practices, training, and leadership development for board members of nonprofit organizations. Through its highly acclaimed programs and services, BoardSource enables organizations to fulfill their missions by helping build effective nonprofit boards and offering credible support in solving tough problems. 4 out of 5 stars Governance as Leadership.......2005-09-07

I found this book to be a breath of fresh air. It offers a new way of looking at nonprofit boards, in a relatively short, easy to read manner. There is a wealth of information designed to help nonprofit boards of directors become more effective. Unfortunately, existing approaches have been less than successful with most boards. This book identifies the problem as one of purpose rather than performance.

The book identifies three modes that boards of directors can operate in: the traditional fiduciary mode, the strategic mode and the generative mode. The authors emphasize the importance of encouraging board members to engage in generative thinking. Engaging board members in this way makes their work more meaningful and satisfying, while at the same time benefiting the organization through more creative, committed leadership. It suggests signs to look for to identify opportunities for generative thinking.

Another interesting new concept discussed in the book is considering directors as a form of "working capital". This is further broken down into intellectual capital, reputational capital, political capital and social capital. Again, this new framework for looking at what board members have to offer increases the opportunities for them to make meaningful contributions to the organization.

Book Description

"This book should be in the library of everyone who serves--or aspires to serve--on the governing board of any organization, large or small, nonprofit or corporate. Better than any other available resource, it tells what the roles of board members are and what they must and shouldn't do. An indispensable guidebook to leadership excellence."
--George Weber, secretary general, International Federation of Red Cross and Red Crescent Societies, Geneva

"John Carver's Boards That Make a Difference was required reading for board members of the Calgary Philharmonic Society. It provided a clear and concise road map with which we carried out significant governance restructuring of the society."
James M. Stanford, president & CEO,, Petro-Canada, and past chairman of the Calgary Philharmonic Society, Calgary, Alberta, Canada

John Carver's groundbreaking Policy Governance model has influenced the way public and nonprofit boards operate around the world. Now, as widespread experience with the model continues to grow, Carver enriches his definitive exposition with updated policy samples, a new chapter on the process of policy development, and additional resources for various types of boards. He debunks the entrenched beliefs about board roles and functions that hamper dedicated board members. With creative insight and commonsense practicality, Carver presents a bold new approach to board job design, board-staff relationships, the chief executive role, performance monitoring, and virtually every aspect of the board-management relationship. In their stead, he offers a board model designed to produce policies that make a difference, missions that are clearly articulated, standards that are ethical and prudent, meetings, officers, and committees that work; and leadership that supports the fulfillment of long-term goals.

5 out of 5 stars Very Helpful.......2003-04-01

The world is full of experts at what is wrong with the things that we do. Dr. Carver has a rock-solid, well thought out suggestion concerning how to do it right. One reviewer complained that Dr. Carver's suggestions are not realistic. Right is not often realistic, but right is always right. It's far better to start with an ideal and compromise from that point than to capitulate from the outset. Boards that Make a Difference is well worth reading.

2 out of 5 stars Idealistic.......1999-06-27

The carver style of governance is a tad idealistic and perhaps overly optimistic. I have read everything Dr Carver has written concerning this field and enjoy this material at an academic level. But when it comes to operationalizing this model in boardrooms I've seen it fail time and time again. Not to say that the model is flawed because in fact the model is normative and conceptually complete. However it doesn't capture that element of reality from which, in my experience, the model requires - practicality and real-world application. Dr Carver's notion that Boards can do without Finance and Audit Committees is very naive. Most consultants from the chartered accountant genre are saying the complete opposite. In fact most government policy initiatives are moving toward more control of financial affairs of organizations for boards from charts of accounts to fiscal policy. So I don't think the elimination of Finance and Audit Committees is realistic nor is it a terribly bright suggestion. I guess my only crticism is that the carver model is far to idealistic and philosophical for a practical application in the form Dr Carver suggests. Sorry but a hybrid model of traditional Board governance and the carver model may work given the commitment required from directors to follow-though on everything suggested in that system of governance,

5 out of 5 stars A must-have for not-for-profits!.......1999-03-29

This book was the core piece of a radical change in our board room. It led us down the path we knew we wanted to go but didn't know how to get there. His model for board room organization could revolutionize boards of companies in transition, like those of the rural electric program in America. It's a road map for where you already know in your heart that you want to go.

5 out of 5 stars Essential for public boards seeking to lead strategically.......1999-01-27

After 5 years on a local Board of Education I finally found a book that describes everything I know is wrong with board management practices in schools and nonprofit organizations. But that is the easy part. Carver offers sound alternatives to current practices that put the responsibility and the capability for strategic leadership right where it belongs--on the board.

I winced as I read Carver's description of reactive boards trapped in the "approval syndrome" in which boards rely on staff to bring issues and recommendations to them for approval. This pervasive practice not only takes board members out of the driver's seat, but it confuses the lines of accountability between the board and the CEO for the organization.

Carver offers a framework for changing all that by forcing the board to rethink all of its policy with an eye toward board-determined policies that operate at the highest level possible. In Carver's approach only four types of policies need to be set by the board: 1) "Ends" policies (board expectations), 2) Executive Limitations (the "don'ts" for the organization), 3) Board process policies and 4) Board-CEO relationship policies. *Everything* you need to be involved in can be fit into one of these four categories.

Want to learn how to stop working at the staff level and how to help your organization find a true sense of direction? Carver's book offers practical and straightforward ways of getting there.

5 out of 5 stars Accessible, Codified Common Sense.......1999-01-24

Mr. Carver presents a very readable way of looking at how governing boards should work. His theories are logical and his arguments pursuasive. He offers board members an intellectual framework to consider how their organizations are running. The book is prescriptive, but not preachy. I was very surprised to find it sensible after hearing so much hype from "converts" to his method.

5 out of 5 stars Board Governance for those who really care.......2007-09-17

Dr. Carver's seminal work on nonprofit board governance updated to cover all the Sarbane-Oxley stuff. For those who care enough to study the very best.

5 out of 5 stars incredibly useful.......2007-08-03

Carver describes how to avoid common Board mistakes and actually create the Board in a leadership role. It seems so obvious now that I read it... but I had to read it to realize what the problems were with my previous and current Board experience.

This book is tailored to answer questions about every size of Board, so read it! It's a bit dense in its language, but useful to all of us.

5 out of 5 stars John Carver.......2007-07-15

I am currently a newly appointed Board chairperson for a non-profit Christian school and we have been using John Carver's Policy Governance model for the last year. While we still have a long way to go to incorporate it completely into the fabric of our board processes, we have made great strides toward it in only a year. This book is excellent in helping us get there. I have also read several of John Carver's guides and although they are somewhat small for the money you have to pay for them, they also contain very good information. We hope to study these principles as part of our on-going board training during this board fiscal year.

5 out of 5 stars Carver guides are very god for the non profit board.......2005-07-20

This is the secong not-for-profit organization that I have directed. I have used this guide and the subsequent Carver guides to help with organizing and direction setting. Volunteer board members always respond well to the material. It is easy to understand yet the Carver model is very comprehensive. I would recommend this to any organization that is engaged in charitable work.

5 out of 5 stars Excellent overview of Carver's Policy Governance theory ........1998-10-30

This first in a 12-part series of general guides on Policy Governance is a great introduction to author John Carver's new approach to nonprofit board development. Basically, this approach clearly separates the roles of board and staff as they go about their separate but related jobs of organizational governance and management. Policy Governance clarifies these roles through policy development and permits the board---governing as a body---to control the management and direction of the organization in a global policy approach. This guide is a good start in grasping the concepts of the approach.

4 out of 5 stars REINVENTION of Reinventing Your Board.......2006-09-10

I have not yet completed reading this new edition so this is initial views only. I have closely read and noted changes in a couple of chapters. First impressions are that the language has got less formal and therefore the book is greatly more readable, and less formidable for the first time serious investigator of governance and Policy Governance. Secondly the years between the first edition and this one has seen some maturing of Policy Governance and this shows in the book with an increased clarity around the description of the theory, and a much improved, and more complete description of ways to implement the model, and much more detail around those practical steps... the chapter on Monitoring Organisational Performance is just so hugely more intelligible in this edition.

It is so pleasing to see an update of this outstanding book. This is a very worthwhile addition to your governance library whether you are a Policy Governance afficiando or not!

2 out of 5 stars Board Member's Guide.......2007-01-19

The content of this "book" is fine but it should be advertised for what it is; a pamphlet. I expected a "book" (more than 17 pages.) I cannot quibble with the scope but it is very cursory. No depth to the content. I would liken it to an outline or a brochure; definitely not a "book." Actually I felt a bit "ripped off."

4 out of 5 stars Your Roles and Responsibilities As a Board Member (Carvergui.......2000-04-11

If you or your board uses Policy Governance and need to understand your job quickly, then read this book. Policy governance is difficult for many board members to grasp, but this handy text brings it home fast. It's more brief, better written and to the point than Carver's 240 page "Boards That Make a Difference." Yet it is only an overview, so don't count on it making you an expert.

I like the basic job description section; it gets to the real job of boards and helps you see the danger of activities--being busy is not always best. However the content is a bit insubstantial, so that you will need to find your own applications of the three "board products. Carver offers 18 useful bullets to the job of board member.

I find this booklet essential for all board member orientations. I would highly recommend this (and the other 11 booklets in the series) to all board members.

Book Description

Reinventing Corporate Boards for the Twenty-First Century

Business scandals from Enron to WorldCom have escalated concerns about corporate governance into a full-blown crisis. Institutional investors and legislators have dominated the debate and enacted important changes in corporate accounting and other areas. But Colin B. Carter and Jay W. Lorsch say that we must now focus on the performance of corporate boards.

This timely book argues that boards are being pressed to perform unrealistic duties given their traditional structure, processes, and membership. Carter and Lorsch propose a strategic redesign of boards-making them better attuned to their oversight, decision-making, and advisory roles-to enable directors to successfully meet twenty-first century challenges.

>P>Based on the authors' deep expertise and longtime experience working with boards around the world, and on a probing survey of CEOs, Carter and Lorsch help boards to develop a realistic value proposition customized to the company they serve. The authors explore the core dilemmas and responsibilities boards face, and outline a framework for designing the most effective structure, makeup, size, and culture.

This book provides a candid account of the current state of boards and points the way in a time of crisis and change.

5 out of 5 stars A sane approach to Shaping the Corporate Culture.......2004-09-05

Carter and Lorsch have noted that "around the world, scandals and company failures have provoked a storm of criticism and well-meaning reforms. In response, a variety of 'best practices' have emerged, but can such ad hoc adjustments fundamentally change the capacity of boards to provide good governance?"

I attended a Forum for Corporate Director's meeting featuring Professor Lorsch from Harvard Business School - it was an outstanding morning filled with additional insights, confirmations, and new ideas concerning corporate governance. This excellent book extended that rewarding experience and will likely be a constant reference in my corporate governance work. Carter and Lorsch have extensive research (included in appendices) behind their suggestions for change in corporate boards. In a refreshingly clear writing style, they expose the gap between theoretical board design and the practical results of board design. Further, they acknowledge that these gaps cannot be closed completely, nor can they be legislated out of existence. Instead, as always, we must rely on the women and men who sit on boards to have a deep understanding of their mission, the boards mission, a commitment to integrity, and knowledge of the workings of their executive suite.

Back to the Drawing Board is laid out in a logical manner, and approaches this complex issue of properly designing boards in an equally logical manner. The face, head on, the issue of increased time and energy that will be required of new board members. The clearly address the issue of independent directors and squarely address the advantages and disadvantages of independent directors versus executive directors. They also address the concerns of the executive director who, in many respects is required to sit in judgment of her boss. Perhaps most refreshing is the concern that we not throw the baby out with the bath water, that we not think that Sarbanes-Oxley is the complete answer, and that we not expect a "one size fits all" board structure. Rather, we must do the hard work of defining a particular board's role, redesign accordingly, and rethink the processes, practices and policies of our decision makers.

This book is a must read for anyone involved in corporate governance whether they are on a board, aspire to be on a board, consult to those responsible for corporate governance or are a member of the "c" suite. Thank you Mr. Carter (of the Boston Consulting Group) and Professor Lorsch (Harvard Business School) for this excellent work.

4 out of 5 stars Helpful Suggestions for Those Who Want to Improve Boards.......2004-02-08

Back to the Drawing Board will be of most value to those who have never sat on a Fortune 500 board or been present during the meetings of one. Much of the current concern about boards reflects a lack of understanding of how they operate. By reading this book, you will get a good sense of what the average and better boards are doing . . . and what their continuing problems are. A unique resource in the book is a survey of 150 CEOs around the world concerning their perceptions of how to improve boards. Although the total is too small to be statistically meaningful, the directional evidence will help many to see what the most glaring issues are.

A second audience for this book will be independent chairs of boards and chairpeople/CEOs who want to improve the effectiveness of the boards.

A third audience for the book will be neophyte directors getting ready for their first meeting.

A fourth audience for the book will be those who want to improve governance practices through legislation and regulation.

As a management consultant who is often asked to speak with public boards about shareholder perceptions of company management, strategy and performance, I found the material accurately reflected my experiences. Boards are overwhelmed, overscheduled, undereducated and often uncoordinated in addressing key concerns of the enterprise and its stakeholders. I had no disagreement with any of the descriptive materials that begin the book. They are valuable addition to the literature. If the book stopped there, it would have been an excellent book.

The prescriptions though that the book makes fall short of what is needed when you get past the idea of building a board and processes to fit the tasks appropriate for that board.

Here are some of the enormous issues relating to effective monitoring of a company's performance (the minimum standard for the board) that the book fails to adequate address:

Is the CFO capable of knowing whether the company is under control and operating honestly and ethically? Most CFOs are chosen for their legerdemain with accounting to make the EPS work out.

Is the CFO telling the board what is really going on in the company? Most CFOs would be fired by the CEO if they did.

Notice that until recently no director in the company needed to know anything about finance or accounting. With Sarbannes-Oxley, one person does. Big deal! Most companies could use several ex-CFOs on their board to deal with these issues.

What do the shareholders (and potential shareholders) think of the company's management, strategy, alternatives and performance? The authors suggest talking to security analysts. That's a waste of time. They just want to sell the company something. As a back-up the author suggest looking at the expensive economic analysis programs (such as sold by BCG, where Mr. Carter works). For a lot less money, you can just talk to shareholders and get regular reports on this. Many firms will do this for you at a very modest cost. In most organizations, the CEO knows less than anyone else about what is going on. Well, the board knows even less than the CEO. You have to get direct information from those you are supposed to serve, both institutional portfolio managers and individual investors.

How is the company actually performing versus competitors with customers, potential customers, desirable distributors, vendors, and in attracting top talent? There's no mention of that subject in the book (expect indirectly in suggesting that Balanced Scorecard companies share those measures with their board).

I could go on, but you can see that the prescriptions here are ones that reflect an incomplete understanding of how to inform a board and make it effective. You need someone who knows how companies work who can set up direct access to the cutting edge information that CEOs often do not go out and acquire themselves. They usually focus on meeting the budget. That's how they get their bonuses.

If a board follows what the authors suggestion, they will definitely make a lot of helpful progress. That's good. But will they be adequately fulfilling their responsibilities to monitor the company on behalf of the shareholders? Usually not. Only where they have a great CEO in place who wants to share information with them will they know what they need to know.

It's very disappointing to me that top experts like Mr. Carter and Mr. Lorsch cannot come up with better prescriptions than these after the round of awful collapses in corporate governance we have just experienced. Investors deserve better.

5 out of 5 stars A strongly recommended revolutionary analysis.......2004-01-12

Back To The Drawing Board: Designing Corporate Boards For A Complex World addresses what expert professional consultant Colin B. Carter and Harvard Business School professor Jay W. Lorsch see as the greatest challenge facing corporate boards today -- that many national and international corporate boards are composed of member with limited knowledge of the companies they must be responsible for, and too little time to make even the most crucial decisions. Recommending a major corporate board of directors redesign based on experience and a "what works" approach, Back To The Drawing Board offers methodologies that can be customized for each unique corporate board of directors to the benefit and bottom-line profitability of the corporation and all who serve it. Back To The Drawing Board is a strongly recommended revolutionary analysis with emphasis on practical needs and reasonable expectations.

5 out of 5 stars Great contribution for a challenging job.......2003-12-27

Very feasible practices and real life suggestions for an increasingly complex and risky job.
Since 1989's "Pawns or Potentates", this is the best book about director's activities.
I recommend this book: very focused and structured contribution for actual corporate board members around the world.

5 out of 5 stars A must for every PG board.......2005-05-26

This book consists of 50 very real-world situations that any board using Carver Policy Governance ® might encounter, with a single worksheet to be used by the board members to logically think through what should be done in this instance. The book calls them "rehearsal scenarios."

I used a few of these scenarios with my board, and they thought it was great! It took the policies from dry words on paper to useable skills. They immediately decided to add time to every meeting's agenda to do one of these rehearsal scenarios.

As the facilitator of our board, I love it because each scenario comes with proposed solutions that I can use to help guide the discussion. It really cuts down on my prep time. It's a great tool for continuing to build board capability of governance.

5 out of 5 stars Practice Makes Perfect.......2005-02-08

This is an incredibly useful addition to Carver's Policy Governance Model because it provides practical structure to "rehearsing" common Board-Staff-Owner scenarios with concrete examples. There are hundreds of books on non-profit governance but the vast majority just seem to dabble in detail and pop-psychology (unworkable concepts of "shared governance", etc); but the Carver model provides a unique, practical, and internally consistent method of governance. I'd certainly recommend highly all of his books. This one, written by Miriam Carver and Bill Charney, provides practical exercises demonstrating how the Carver model would handle problems Boards face regularly such as: Do Board members have authority over employees?; Should Board members with expertise oversee programs?; Does the Board job include fundraising?; We like and trust our CEO - isn't that governance?; What if the CEO lies?

It's amazing to me that "rehearsal" plays a role in virtually every profession (musicians, lawyers - in mock trials during law school, teachers - with student teaching, MD's - with simulated emergencies, etc), yet Board members don't rehearse. No wonder performance isn't always optimal. This book is invaluable. It not only suggests that Board's spend time, preferrably at each meeting, rehearsing governance issues but it also provides a practical approach loaded with wonderful examples. Worksheets are included as are the author's suggested "generic" solutions.

Every Board using the Carver Policy Governance Model should have this volume. I can't recommend it highly enough!

5 out of 5 stars An Indispensible Resource.......2004-03-23

"The Board Member's Playbook..." is an indispensible resource for board members and those interested in policy govenance. The writing is very intelligent, clear, concise; a pleasure to read. A separate section provides a thorough overview of the Carver model for those unfamiliar with policy governance, as well as those needing a refresher. An accompanying CD-ROM is another excellent resource for helping board members with implementation.

This book is a roadmap to success for anyone who uses it. The real world examples and worksheets offer a practical, hands-on exercise in policy govenance. After reading and completing the exercises on my own, I felt well-prepared and energized to take on a board-related challenge using the model.

While this book brings everything a board member needs to effectively use the Carver model, it is the board members themselves who are ultimately responsible for their success. Board members must commit to being honest with themselves and one another, and be dedicated to the rigors of the process to properly implement the Carver model.

This wonderful resource also raises a very important question in my mind - why is the Carver model used predominantly in the non-profit sector? Why isn't the Carver model de rigeur for the for-profit sector? I can only see great benefits and progress ahead should this actually occur.

5 out of 5 stars A Welcomed Addition.......2004-03-11

A welcomed addition to the "Policy Governance" corpus, "A Board Member's Playbook" provides a clear, concise and easily useable framework for Board practice. Complete with worksheets and an CD Rom, the book helps policy governance Boards work through simulated issues, forming a bridge between the theory of policy governance and its practical application.

Book Description

Praise for The Imperfect Board Member

"Finally! A book about boards that isn't boring!"
--Patrick Lencioni, author, The Five Dysfunctions of a Team

"Everyone wins with good governance--countries, corporations, and community groups. In a compelling style like no one before him, Jim Brown helps leaders understand the keys for boardroom excellence. The Imperfect Board Member ought to be required reading for people on every type of board. The great thing is that it won't need to be required--it's such a fun book, every leader will want to read it."
--Jim Balsillie, chairman and co-CEO, Research in Motion; chair, Centre for International Governance Innovation

"I know no board members, myself included, who won't learn valuable lessons from Jim Brown's book The Imperfect Board Member. Don't miss it!"
--Ken Blanchard, coauthor, The One-Minute Manager and The Secret

"Thanks to Sarbanes-Oxley, boards have become active. The Imperfect Board Member clarifies sharply the lines of what boards need to do and what management needs to do. The time has come for the two groups to work together and yet keep independent."
--Ram Charan, coauthor, Execution, and author, Boards That Deliver

"The Imperfect Board Member by Jim Brown is a highly perceptive, eminently readable, engagingly human book on how boards and directors can improve their performance. In a breezy conversational style that uses dialogue invitingly and often, the author explores with sensitivity and a light touch not only the standard ingredients but also the more subtle nuances of excellence in both corporate and not-for-profit governance."
--William A. Dimma, author, Tougher Boards for Tougher Times; chairman, Home Capital Group Inc.

4 out of 5 stars The Imperfect Board Member.......2007-07-15

This book was an interesting way of educating the reader on how a good board should function. Since most board members are also consumers of the product and or service provided by the company of which we are board members, we all wear mulitple hats and have our own personal opinions on how the company should operate. This book shows how to rise above those opinions and look at the higher level vision of the company and not the day-to-day operations. I am also reading John Carver's 'Boards That Make a Difference' and firmly believe that the Board must stay out of the operations unless the CEO is extremely weak. These two books together give great ideas of how a good board should operate and how individuals within those boards should consider more than just their one view-point.

5 out of 5 stars Engaging and Educational.......2006-11-06

I have read more than 50 books on board governance and this one, starting with a fictional story with many embedded principles, held my interest and attention more than any in recent years. The author presents a "model" that is easily digested and practical. This should be of interest to both board members (in all sectors) and senior administrators who want to improve the way their governing boards work.

5 out of 5 stars Moving Board Members From Meddling to Monitoring.......2006-11-02

Jim Brown nails it. With big print, mind-grabbing graphics and a story line in the tradition of Ken Blanchard and Patrick Lencioni books, you'll value the author's seven disciplines in this leadership fable about business boards, nonprofit boards and faith-based boards.

Example: "The best boards keep their noses in the business and their fingers out!" Brown warns, "The only way a board can responsibly do its job without meddling is by monitoring very well." Buy a bunch and give a copy to each board member and senior executive on your team.
