The book is fine, but it didn't point out enough that it is the professional edition which does not come with the turbotax, so I had to end up buying it seperately, it pissed me off, stupid amazon. Wake up.

A bit hard to understand.......2004-12-02
I had an older edition of this book, which wasn't very helpful, so I bought the new one hoping it was an improvement, but came away rather disappointed because, for an instructional manual, this one is hard to follow. Apparently, the authors have been in the valuation business for a long time, but it's not always easy to translate experience effectively into words. For most, this is a how-to project with potentially big consequences, so the instructions should be more clear than this. I liked "Unlocking the Value of Your Business" as an alternative. Once I read that book, I understood better what these guys were talking about.

I am a lawyer who has tried valuation cases and this book is a terrific resource for valuation experts and attorneys. I used it to defend and to attack witnesses. It is respected. It is used at the Federal Judicial Center as training for judges on these issues. It is not at all appropriate for people who are trying to value companies for investment purposes.

An Excellent Private Equity Valuation Primer.......2002-04-08
I have found Mr. Pratt's book to be an outstanding and practical general reference guide to valuing privately-held businesses. Due to the book's breadth of material and balanced focus on both the science and art of valuation, I have found "Valuing A Business" to be an excellent professional reference for anyone entering the field of business valuation. I highly recommend it.
In addition to the common "science side" valuation techniques, issues, and approaches that are found in many valuation textbooks, Pratt provides unique, valuable insight into the "art side" of valuation. The book also includes real life project execution considerations for litigation support, expert witness testimony, and taxation. "Valuing A Business" offers solid information to assist a practitioner in building a quality framework for conducting a comprehensive private company valuation.
Good technique, directed at the professional practitioner.......2001-10-18
I take issue with the reviewer who suggested that Tom Copeland/McKinsey's book "Valuation" is better than this one or is more directed at valuaing big businesses. ... On the other hand, it should be said that valuation techniques do not differ between big companies and small companies (especially if big/small companies are publically traded). Valuation techniques vary depending on (a) what sort of asset is being valued (public equity, vs. private equity, vs. business assets as a whole, etc) and (b) why valuation is being done (for M&A, litigation between business partners, divorce, ESOPs, for equity investment/divestment). If an investor is valuing a $50 Billion public company and a $50 million public company, the technique used for both is (probably) the same.
If anything, this book does an excellent job in reminding us of the diversity of valuation techniques in use, and the diversity of reasons for doing valuations. Given the frequency with which privately held companies are bought, one would think that knowing how to value companies whose stock is not publically traded is useful for general businesspeople, not just accountants and attorneys. But if you absolutely insist that you just want to know how to value publically traded companies and don't give a hoot for calculating "private equity discounts" or "minority shareholder discounts", then I would recommend Aswath Damodaran's books "Damodaran on Valuation", "The Dark Side of Valuation" or "Investment Valuation". Damodaran, professor of Finance at NYU, actually uses the same techniques taught here, but applied to public equity investing and with different names (for example, what is called the "Market approach" here is just what Damodaran calls "relative valuation" in a different context).

A MUST HAVE FOR EVERYONE.......2007-05-13
I LOVE IT! I recieved this book about a month ago and it was the best and smartest purchase I've ever made. My husband and I were looking to move to another house, but because of some financial hardship two years ago his credit score had dropped. We called one of the "credit repair compainies" and found it would cost over $700 just for a couple of months service. I felt that price was too high. So I decided since this is something we could do ourselves why not give it a try. I started reading and highlighting the book 10 minutes after I got it. This book has something for everyone, it doesn't matter if you are trying to build credit, going thru a Bankruptcy or being pressured by collections. GET THIS BOOK. Our score has already jumped 40 points in the first month, and keeps rising. I believe in a year we will have a score of 800. It is really helpful and I can not say enough wounderful things about how much money this book will save us in the future.
If you are on a time crunch to raise your credit score I advise (from personal experience) to pull your credit report from all three bureaus before you get the book.

Greetings To All. I would rate this book a perfect 10 if I could. I want to take this time to let everyone know that the information in this book is allowing me to truly understand the various credit laws, FICO & Vantage scores, ways to fight incorrect information on your credit report and so much more. My credit score is now in the mid-600's. It increased about 80 points. I was able to obtain a Chase Mastercard and a VISA as well. I am learning how to use these credit cards to build my buying power. This book shows you all the do's and things to avoid. This book is worth every penny I paid. 100% as advertised. I was able to remove several items off of my credit report and increased my FICO score by 48 points in one month! This ended up getting me a loan on my new car at 3.9% instead of 7.5% I'll end up saving over $3000 over the 60 months for the loan. One wish - can you make a hardcover edition of this book? I used mine so much it's falling apart! I have more highlighted paragraphs in this book than I do in my regular church bible. Go figure. Again, thanks for such a great resource!

This is a great book!! He tracks the langauges of the required statutes and it has everything you need!! It is "The Bible" of how to books for starting a Non-profit. The only draw back is that it does not give a lot of advice for starting a church. However, that does not diminish its potency.

For the future presentations of the University of California Extension Sarbanes-Oxley class, we selected this volume and CDROM as the workbook. The earlier textbook was too high-level and theoretical. The head of the Finance and Accounting department was quick to approve the change. The participants in the class include both accounting and IT professionals; they will appreciate the very practical nature of this volume.
Toolkit That More Than Pays for Itself.......2005-09-20
One of the unintended consequences of subscribing to a Sarbanes-Oxley Listserv is seeing how many auditors, and companies, are struggling with Section 404 of the Sarbanes-Oxley Act of 2002. There has been a lot of uncertainty for auditors, and companies, as what is required and how to go about setting up an effective audit plan and making compliance repeatable, sustainable reality. I have seen more calls of help for toolsets in this Listserv than I wish there were, but that has been the reality. However, there is now an outstanding resource to help external, internal auditors, and companies get their acts together by streamlining the 404 compliance process.
Michael Ramos, author of the excellent "How to Comply with Sarbanes-Oxley Section 404: Assessing the Effectiveness of Internal Control", has now written "The Sarbanes-Oxley Section 404 Implementation Toolkit: Practice Aids for Managers and Auditors" (357 pages, John Wiley and Sons, 2005, ISBN 0471712256. This is not a book to sit down and read. This is a book that, from cover to cover, provides worksheets, sample documents, and decision criteria for their use. It is a book that comes with a CD-ROM of the entire documentation contents that will more than pay for itself from the first day you have it in your hands.
It is hard to look at a book like this and say "I like or do not like what the author has to say", or that "I really like the author's writing style". What you need to look at in deciding whether or not to purchase this book, is a series of questions.
Do you have to conduct Section 404 audits as part of an external audit or as part of a control self-assessment? Do you need ready to go and completely customizable templates to help you in this process? Do you want to use tools developed by an experienced Certified Public Accountant, instead of having to sit down and spend days on end developing your own toolsets and work paper templates? How much non-billable time are you willing to spend developing these tools? Do you want an easy to understand methodology that can easily be taught and passed on to other employees as part of a knowledge transfer and enablement program?
If you are like me, these questions will give you the easy answer of "Yes!". All of the documents provided on the CD ROM are in word format, and the disk also contains a Microsoft Word document viewer and a copy of Open Office. Each form comes with a purpose statement to understand its use, as well as instructions on how to use them. Ramos starts with the general work program and takes the process all the way to the end with management reports. There is also a sample general audit program.
Who Should Read This Book
The purchase of this book should be a no-brainer for internal and external auditors, managers, and consultants doing SarBox work. I add this latter group because there are too many consultants out there who are telling clients things that are not quite accurate. This book should help them provide better services.

A superb collection of forms for an established business.......2006-08-06
This book contains a great deal of ready to use forms for your corporate records on many aspects of business operations but be careful if you are looking for information on minutes of first meeting. The book says not to worry if you don't have organizational minutes; however, such important resolutions as corporate seal or principal office are missing.
Apparently these resolutions are covered by other NoLo books, which deal with formation of various corporation types. So just be aware, you may need to pick up one of those books in addition to this one.
Great coverage of exactly what it says it's going to cover........2006-04-15
Many other books on corporate forms try to cover everything (from selection of entity type to formation, filings, taxes, legalities, etc.) which means they usually just cover these topics in a shallow and frustrating way.
This book covers exactly what it says it covers (meetings, minutes and resolutions) and covers these topics very well, with lots of details, advice, examples and related useful tid-bits. It doesn't try to be an encyclopedia of everything related to corporations, which is GOOD, it has FOCUS. Also, it's from Nolo press, a generally better publisher of these types of books in my opinion, and Mancuso has written lots of good business/legal books.
The book is overkill for the typical LLC or small S-corp, but, on the other hand, these are the businesses that are at greater risk of having their corporate veils discarded in court. You can crank down the degree of formality to whatever level you feel comfortable, but at least you'll have a good idea of how the larger and more professionally-managed corporations document themselves.
If you're a sole proprietor upgrading to an LLC, or a two-person corp of any type, then this book probably won't be what you're looking for. If you're a newly-minted MBA or lawyer and now you're handling the affairs of a small- to mid-sized corp as an officer or advisor, then I'll bet you'll think the book is great (and maybe you'll secretly hide it in your desk to make everyone think you just know all this "corporate paperwork BS" off the top of your head). In general, the book is very good at clarifying the weirdness of corporate documentation.

My firm specializes in strategic transactions - initial public offerings, private placements, mergers & acquisitions - but we had steered clear of reverse mergers because of the uncertainty and confusion. If you want to know the right way to organize and structure Reverse Mergers, this is the book to go for. It's an excellent up to date reference as well as a guidebook of do's, don'ts and "tricks of the trade"; even better, it's written so both newbies and professionals can benefit from it.
At the very minimum, Reverse Mergers will pay for itself many times over in saved legal fees; more importantly it will almost certainly save you a lot of time and may well save you from some very expensive mistakes. good last-minute review book.......2007-01-09
good review for corporations class. it is based on the model code, and sometimes DE. but if you need NY law, this book doesn't help that much. but the explanations are clear and interesting.

The provisions for Sarbanes-Oxley compliance are only mandatory for
public companies that file a Form 10-K with the SEC - however, more and
more companies are being encouraged {pressured?} to voluntarily
comply with SOX - a good example of which is the United States Postal
Service. Why is this? Because in a free market capitalistic society,
there exists a need to bolster investor confidence in the reliability of
publicly reported financial information. No one wants another Enron.
This book does a great job of laying out - soup to nuts - the SOX
landscape and its key provisions. Everything from the AICPA checklist to
WorldCom misconduct, and everything in between (Arthur Andersen
[remember them?], COBIT, COSO, Enron, Kenneth Lay [departed], and Sox
Sections a plenty - presenting an excellent and at times compelling
picture of Sox, how we got here, and where we're going.
SOX was enacted July 30, 2002 - so if you feel the need to rapidly
graduate off the "SOX dummies list" [their title, not mine], then by
all means get this book!, and be a Soxcess!

Great book. Simple and complete. Sox is explained in easy to understand language. I recommend.
Great for non-financial executives.......2007-06-08
I am a CFO of a public company as well as a partner in a CPA firm. The book was very informative but for me it was 75% stuff I already knew. The software chapter was heplful but seemed biased. The book has several minor technical errors but nothing that would really mislead a novice. I bought 5 more copies to give to my controller, board chairman and a division president, as well as to two clients. My six year old son gets a real kick out of the title and exclaims "Sarbanes Oxley for Dummies!" every time he sees it on my night table (could he be a budding SOX consultant??).
Publisher should read "Printing for Dummies".......2007-06-08
The introduction was good ... then about 30 or 40 pages into the book, the subject suddenly changed to Obsessive Compulsive Disorder. Yes, somehow the printer put about 40 pages from a different book into this one! Amazon easily accepted the return. But from now on, I will need to touch a "(Fill in the Blank) for Dummies" book before I buy it.
SOX for Dummies.......2007-02-13
This book is great.....very easy read, interesting and informative. It gives you a background on how the stockmarket got started and all the insight since the great depression and the crash through to the scandals of today. It too bad that history does repeat it self.
