5 out of 5 stars Excellent Business Course.......2007-09-26

This book is very complete and easy to understand. I needed a book that shows me how run my LLC with minimal effort and how to avoid legal trouble, and this book did just that. I highly recommend this book to others who are new at running this type of corporation and don't want to pay a lawyer or subscribe to Internet corporation maintenance services. With this book you can fly solo.

5 out of 5 stars Your Limited Liability Company: An Operating Manual.......2006-11-11

After you have formed your company as an LLC this book is a must. It has all the forms that you will ever need to create a paper trail for your LLC company, and how to do it without having an official meeting every time you want to make a major company decision. All you have to do is to modify the forms to fit your needs. I have given copies of the cover to my attorneys, bookkeepers and friends, to help pass the information along to their clients. This is a must have book!!!

5 out of 5 stars good reference.......2006-06-24

This is a great book to own if you have or are thinking of starting an LLC. I've used many of the forms. The layout of the book is well-organized. Forms are easy to find on the CD. The tips in the book are very useful. I reference this book often. Highly recommended.

5 out of 5 stars Good Resource Guide.......2003-12-31

This book provided me with the essential information an LLC owner needs to avoid trouble with the IRS and the courts. This book contains a lot of practicle information, useful forms and many real life examples. It covers meeting minutes preparation, record keeping and the updated Federal 2003 Tax Act. This is a must book for any LLC owner!

2 out of 5 stars Can't imagine many people need this book........2003-11-21

Generally I have to say I was a little disappointed with this book. To be fair it lives up to its claims that it will basically help you run LLC meetings and provides forms for most basic LLC functions EXCEPT creating one. It provides no business advice and no tax advice to help with serious beginning operation issues. I was hoping for a book that would offer advice and successful strategies for managing money in the LLC and discuss tax strategies and so on. Advice, that would help me operate an LLC with the legal documents to back up the advice. That is not what this book contains.

This book will not teach you how to begin running your own LLC business. But if you are an LLC member with two other members in your LLC it will tell you to use form 7 to formally announce the meetings and form 8 to guarantee that the announcement has been received and 9 to proactively declare that the meeting contents will be....

This book will not help you make tough decisions but it will tell you what to do if you have already made a decision. If that's really all that you want you have found your book.

What strikes me as odd is that the two most important documents as stated at the start of the book, the operating agreement and articles of organization, are not included in this book. For that topic they have written a whole SEPARATE BOOK for you to buy and they kindly point you in that direction.

My general feeling is that this 50-dollar book is too pricey for what it offers. They should drop the tear-out pages, that no one will ever use since the forms are on the CD, and the one or two pages for each states specific LLC rules, which could easily also be on the CD since you most likely only need the paragraph that pertains to your state, that make up HALF the content of the book and lower the price to 20.

Book Description

The authors argue that the rules and practices of corporate law mimic contractual provisions that parties would reach if they bargained about every contingency at zero cost and flawlessly enforced their agreements. But bargaining and enforcement are costly, and corporate law provides the rules and an enforcement mechanism that govern relations among those who commit their capital to such ventures. The authors work out the reasons for supposing that this is the exclusive function of corporate law and the implications of this perspective.

5 out of 5 stars CLASSICAL BOOK.......2006-07-12

Es un libro de obligada lectura en materia de Derecho de sociedades de capital. Se puede decir que se ha convertido en pocos años en un "clásico" del Corporate Law.

1 out of 5 stars Big Waste!.......2001-05-10

Don't buy this book unless you like fiction. And bad fiction at that. This book contains absolutely no analysis (like all of this author's writings).

5 out of 5 stars A classic of the field.......2001-01-12

Easterbrook and Fischel collected a series of law review articles into the classic text on the contractarian theory of corporate law. During the 1980s, E&F were two of the corporate law academy's enfants terribles. Their articles were provocative, yet insightful. They raised a lot of hackles, yet did ground-breaking work. Both E&F have gone on to bigger and better things. Easterbrook is now a judge on the US 7th Circuit. Fischel is dean of the UChicago law school. "The Economic Structure ..." stands as their legacy for corporate law.

Like other contractarians, E&F model the firm not as an entity, but as an aggregate of various inputs acting together to produce goods or services. Employees provide labor. Creditors provide debt capital. Shareholders initially provide equity capital and subsequently bear the risk of losses and monitor the performance of management. Management monitors the performance of employees and coordinates the activities of all the firm's inputs. The firm is simply a legal fiction representing the complex set of contractual relationships between these inputs. In other words, the firm is not a thing, but rather a nexus or web of explicit and implicit contracts establishing rights and obligations among the various inputs making up the firm.

The nexus of contracts model has important implications for a range of corporate law topics, the most obvious of which is the debate over the proper role of mandatory legal rules. As a positive matter, contractarians contend that corporate law in fact is generally comprised of default rules, from which the parties to the set of contracts making up the corporation are free to depart, rather than mandatory rules. As a normative matter, contractarians argue that this is just as it should be. E&F devote the bulk of this text to tweaking out these implications across an array of important topics, such as limited liability and insider trading.

Their analysis is not flawless. As but a single example, E&F consistently opt for the so-called majoritarian default. Their basic thesis is that by providing the rule to which the parties would agree if they could bargain, society facilitates private ordering. Majoritarian defaults are not always desirable, however, even if a potentially dominant one can be identified. Sometimes penalty defaults are preferable. Penalty defaults are designed to impose a penalty on at least one of the parties if they fail to bargain out of the default rule, thereby giving at least the party subject to the penalty an incentive to negotiate a contractual alternative to the penalty default. They force the parties to choose affirmatively the contract provision they prefer. Penalty defaults are appropriate where it is costly for courts to determine what the parties would have wanted. In such cases, it may be more efficient for the parties to negotiate a term ex ante than for courts to determine ex post what the parties would have wanted.

Having said that, however, this remains one of the most significant monographs on corporate law. I highly recommend it for an corporate lawyer's bookshelf.

5 out of 5 stars Coase Applies; Coase is Right ..........1999-01-30

The classic exposition of law and economics in the corporate field. This book consolidates and expands upon several law review articles written in the early 1980s that have reshaped how corporate and securities law and policy have developed. If you want heavier economic analysis, this book is lacking, but if you want *structure* and *framework* then this book is ideal.

3 out of 5 stars Not comprehensive.......2006-06-28

I purchased this book to help me in the incorporporation process of a C-corp, and must say that while it does provide a lot of information, it's far from being sufficient in taking you step by step through the process.

Just when you think you'll be able to pull this off with his guidance alone, Finck will tell you to "get an attorney experienced in security matters", rather then going deeper into securities laws, or at least mentioning what Regulation D, Rule 504 is. (Not that it's his fault, but after meeting with 5 business lawyers that a small business could afford, the advice proved hard to follow as well!)

Truth is, the process itself is more complicated than can be covered in just 126 pages. The rest of the book is allocated to forms, at least one of which has a mistake in it. Finally, I wouldn't call the forms CD complete without the pages of a Corporate Kit. How hard would it be to include a stock ledger?

5 out of 5 stars Does What an Attorney Does For LOTS Less Money.......2005-08-19

If you go to an attorney to get him to set up a corporation, he will ask you a bunch of questions, write down the answers and get his secretary or paralegal to type these answers into their standard corporation form on their word processor. She will then press the print button and you get billed for a thousand dollars or so.

Kevin Finck is a San Francisco attorney practicing law in California. He decided to take his standard corporate form and put it out in the form of a book. In the book he will ask you a bunch of questions, taking the time to point out the alternatives (that a lawer probably doesn't do unless asked. You then take his standard corporation form (supplied on a CD) and fill in the answers. Files these with the appropriate offices and you have a corporation for only the filing fees the state charges. The forms used here have been used thousands of time to form California corporations. This is a new book (May 2005), it reflects the latest changes in California law. New corporations rarely have any excess money. Doing this work yourself will literally save the corporation hundreds of dollars that your organization probably doesn't have.

Even if you prefer to use an attorney, going through this book, filling out the forms, and then simply asking him to review the forms will save you a lot of money.

Customer Reviews:

5 out of 5 stars Useful and Easy to Understand.......2007-10-07

I am currently in the process of creating my own LLC at the time writing this review. The book is very helpful to understand the process and the things I will have to worry about from a legal and also tax perspective. I hired a lawyer for the company creation before I bought the book and have now the feeling that I could be doing it without paying a lawyer. However, the book made me realize that there is a lot of paperwork involved in the process and the lawyer will do all that work for me, which saves me a lot of time.

I am currently very busy preparing everything for the daily business operation to come so I do not regret my decision of using a lawyer. If time is not too much of a problem, but saving the cost for a good corporate lawyer is, this book will be able to help you to get the process done by yourself.

For people like me, who use a lawyer is the book still helpful, because there are a lot of things to consider and know about, after your LLC was created. It will serve me well in the years to come. I am sure about that.

5 out of 5 stars Quick easy read, Great Information!.......2007-08-05

I read this whole book on a flight from Miami to Seattle. I had just started an LLC through a Lawyer and wanted to get an idea of how to put together the Operating Agreement. This book had a great Operating Agreement example in the back. It also had simple examples for each scenario that helped me understand the best type of LLC set-up for my business. Nolo's Quick LLC covered everything I needed to know in an easy format to read and reference. After reading, I felt I was able to discuss my ideas intelligently with my lawyer and ask him questions I would have never thought of before.

5 out of 5 stars An excellent manual essential not only to business owners.......2007-07-07

Most in business have learned the term 'limited liability company' - but few know what this means, let alone how to tailor a business as a LLC and to understand if and when such a structure would apply. NOLO'S QUICK LLC, 4TH EDITION provides all the basics to operating an LLC, from choosing different structures and understanding differences between a LLC and a corporation to handling legal and tax paperwork. The result is an excellent manual essential not only to business owners, but to business libraries seeking an easy yet comprehensive reference.

4 out of 5 stars Informative, Provides a Framework, A Bit Conservative.......2007-02-12

Having just established my own Limited Liability Company (LLC), I wanted a book that would define what a LLC is in the framework of other business models, including tax and legal implications. I wanted to ensure that a LLC was the best fit for me. That is exactly what this book did, and it did it well.

If you are thinking of starting your own business an a LLC, but are not sure of which business model to use (Sole Propertiorship, LLC, Parternship, S-Corp, C-Corp), this book will help inform you of the pros and cons of LLCs, and how they fit into the overall legal and tax structure.

The only reason I rated this book at 4 stars instead of 5 stars, is that it scared me a bit in regards to the legal and tax requirements, without providing enough detail to give me a grasp on why the requirements were in effect. Having also been in contact with a certified tax expert and accountant while I was reading this book, I learned that this book errs on the side of being very conservative, or even a bit scary, in regards to legal and tax requirements. So I would advise anyone who gets this book to also balance it out by reading a more aggressive book about saving money on taxes and operating an LLC legally.

After reading this book, I also read "Your Limited Liability Company, An Operating Manual" by the same author. That book provides in depth detail on the day-to-day running of an LLC. It helped me tremendously. However, this book is also conservative when it comes to saving money on taxes.

Overall, both books are great reads.

4 out of 5 stars Very Helpful Book, Helped Me Decide That An LLC Is Right For ME!.......2006-12-04

This book was not a disappointment by any means. I wanted to learn if forming an LLC was right for me and by the end of reading the book, I knew it was. Nolo's book was surprisingly easy to read and understand. Although the writer is a lawyer, he writes in every day speak and makes the concepts as easy to understand as possible. The book is also more entertaining then one might think. The only thing I would have liked to see as part of this book is a step by step list of who to contact to form the LLC including any forms or at least a link to forms you would need to complete the task. Overall, if you want to learn about LLC's and decide if the business form is right for you, then this is the right book to choose.

5 out of 5 stars Spent $20, Saved $600.......2004-11-20

I was thinking of forming a corporation for a small business I have. I called the small business development center in the small town where I live. Most towns have these, ours is run by the university.

I asked about incorporation, he said that going through an attorney is obviously the best solution. "That will cost," he said, "around $600. The attorneys have this more or less standard form on their computers, they will fill in the blanks and send it in for you." "Or," he continued, "I have a book here that tells you how to do it yourself." I asked if anyone using his book had ever had any trouble. "No," he answered.

He pulled out this book. Someone had already ripped off the CD that came with it. I could type the forms in the book into my computer, instead I went across the street to the bookstore. Twenty bucks saved a lot of typing.

It's certainly not the most interesting book I've read, but $20 rather than $600. What more can I say?

I looked at several books and found this one by Nolo to be COMPLETE, SUPERB, EASY TO FOLLOW. It explains benefits of incorporating then lead you through very clear step-by-step instructions. CD provides samples, save you from typing and there's explicit instructions fro each state. I incorporated in MA successfully using this guide. The author(attorney) has written many related books in similar clear step-by-step fashion. Thank you so much. I couldn't have had the guts to incorporate without this book and it turned out to be so easy.

2 out of 5 stars An article's worth of good ideas, stretched into a big book.......1999-02-12

Fritz makes some excellent points here about identifying and resolving structural conflicts in organizations. As a 30 or 40 page article, with numerous real-life examples, it would have been an excellent "primer". As a full length read, though, you walk away feeling somewhat cheated: *There's no discussion of how to actually diagnose structure conflicts (which you need to make use of these concepts). *No mention of how to address more complex structural conflicts, where the resolution would have to occur over time. *And the discussion of "structural tension" provided here is just one piece of what you need to design an effective organization. Two other concerns: (1) The book is decidedly skimpy on real company examples. (2) The numerous pitches for Fritz's consulting and training practice become downright grating. Good ideas here, but not well presented.

5 out of 5 stars Brilliant and revolutionary thinking.......1997-03-11

This is the textbook for building successful organizations and gaining control of unruly ones. A book for smart business people who will not be deceived by its apparent simplicity

5 out of 5 stars Fritz's work is foundational to any other business info.......1997-02-01

A quote from the late W Edwards Deming reads: "94% of all problems in business and organizations are problems with structure and system, only 6% are problems with people." Who in your organization is the authority on these subjects? Unfortunately, at the age of 93 W. Edwards Deming passed away on Dec. 20th of 1993. Robert Fritz is today's authority and leading thinker about structure and system which will be critical to understand for success during this next century. Why are school children told what to think before being taught how to think? K-12 and university, collge teachers must incorporate Fritz's work if our children are to have a real competitive chance at a decent future. Corporate Tides is written very clearly using step by step logic, Quick Reviews, Laws and Axioms which makes the information easy to digest and incorporate. No matter what your current occupation, the work of Robert Fritz will greatly enhacnce your creative ability by providing knowledge of how to develop dynamic, resolving structures that lead to sucess. Sincerely, Russell W. Kukla PS: Why are school children told WHAT to memorize before being taught HOW to memorize? The basic structure used for building a powerful memory ability is the same basic structure that Robert Fritz teaches. Structure is everwhere?

Attorney and business-law expert Anthony Mancuso presents LLC or Corporation? How to Choose the Right Form For Your Business, an in-depth guide to making the right choice when one's company has grown to the point where its legal structure needs to be upgraded to something that will protect one's assets and provide tax benefits. The question of "corporation or limited liability company?" isn't clear-cut, but since it will directly affect the legal and tax status of one's business, it is a crucial question indeed. LLC or Corporation? covers all aspects of this decision, including concerns of doing business out-of-state, money issues and personal liability concerns, converting a partnership or a sole proprietorship to another entity, converting an LLC to another entity, converting, dissolving or selling a corporation, and much more. Highly recommended for anyone confronted with the title question - it is much better to get all the facts and make an informed decision now than expend an excess of time and effort cleaning up after a mistaken choice later.
