Buffett, the Bard of Omaha, is a genuine American folk hero, if folk heroes are allowed to build fortunes worth upward of $15 billion. He's great at homespun metaphor, but behind those catchy phrases is a reservoir of financial acumen that's generally considered the best of his generation. For example, in an essay on CEO stock options, he writes, "Negotiating with one's self seldom produces a barroom brawl." This is his way of saying that an executive who can give himself compensation totally disproportionate to his performance surely will. There are uncountable gems of financial wisdom to be harvested from these essays, taken from the annual reports he writes for Berkshire Hathaway, his holding company. Just to pick one more, here's a now-famous line about those he competes with when making stock-market investments: "What could be more advantageous in an intellectual contest--whether it be chess, bridge, or stock selection--than to have opponents who have been taught that thinking is a waste of energy?"
While Buffett has a policy of seldom commenting on stocks he owns--he feels public pronouncements will only lead to the public's expectation of more public pronouncements, and he likes to keep his cards close to his vest--he loves to discuss the principles behind his investments. These come primarily from Ben Graham, under whom Buffett studied at Columbia University and for whom he worked in the 1950s. First among them is the idea that price is what you pay and value is what you get--and if you're a smart investor, the first will always be less than the second. Real Wisdom at a Good Price.......2007-08-05
I work for a financial services company, and I'm subjected to corporate gobbledegook on a daily basis. Warren Buffett gets to the point. His explanations of financial transactions seem so effortless, I can't imagine how others get so confused and obtuse. Here's a mind worth delving in to, and this book lets you sit on the shoulder of a modern genius to see how he thinks. Good stuff.

These are the actual words penned by Buiffett. Not as dry as one would think, he's actually a wonderful writer. The Oracle of Omaha can turn a phrase and while parts of this are slow going, I enjoyed it throughly.

I found this book to be a breath of fresh air. It offers a new way of looking at nonprofit boards, in a relatively short, easy to read manner. There is a wealth of information designed to help nonprofit boards of directors become more effective. Unfortunately, existing approaches have been less than successful with most boards. This book identifies the problem as one of purpose rather than performance.
The book identifies three modes that boards of directors can operate in: the traditional fiduciary mode, the strategic mode and the generative mode. The authors emphasize the importance of encouraging board members to engage in generative thinking. Engaging board members in this way makes their work more meaningful and satisfying, while at the same time benefiting the organization through more creative, committed leadership. It suggests signs to look for to identify opportunities for generative thinking.
Another interesting new concept discussed in the book is considering directors as a form of "working capital". This is further broken down into intellectual capital, reputational capital, political capital and social capital. Again, this new framework for looking at what board members have to offer increases the opportunities for them to make meaningful contributions to the organization.

Very Helpful.......2003-04-01
The world is full of experts at what is wrong with the things that we do. Dr. Carver has a rock-solid, well thought out suggestion concerning how to do it right. One reviewer complained that Dr. Carver's suggestions are not realistic. Right is not often realistic, but right is always right. It's far better to start with an ideal and compromise from that point than to capitulate from the outset. Boards that Make a Difference is well worth reading.
Idealistic.......1999-06-27
The carver style of governance is a tad idealistic and perhaps overly optimistic. I have read everything Dr Carver has written concerning this field and enjoy this material at an academic level. But when it comes to operationalizing this model in boardrooms I've seen it fail time and time again. Not to say that the model is flawed because in fact the model is normative and conceptually complete. However it doesn't capture that element of reality from which, in my experience, the model requires - practicality and real-world application. Dr Carver's notion that Boards can do without Finance and Audit Committees is very naive. Most consultants from the chartered accountant genre are saying the complete opposite. In fact most government policy initiatives are moving toward more control of financial affairs of organizations for boards from charts of accounts to fiscal policy. So I don't think the elimination of Finance and Audit Committees is realistic nor is it a terribly bright suggestion. I guess my only crticism is that the carver model is far to idealistic and philosophical for a practical application in the form Dr Carver suggests. Sorry but a hybrid model of traditional Board governance and the carver model may work given the commitment required from directors to follow-though on everything suggested in that system of governance,

This book was the core piece of a radical change in our board room. It led us down the path we knew we wanted to go but didn't know how to get there. After 5 years on a local Board of Education I finally found a book that describes everything I know is wrong with board management practices in schools and nonprofit organizations. But that is the easy part. Carver offers sound alternatives to current practices that put the responsibility and the capability for strategic leadership right where it belongs--on the board.
I winced as I read Carver's description of reactive boards trapped in the "approval syndrome" in which boards rely on staff to bring issues and recommendations to them for approval. This pervasive practice not only takes board members out of the driver's seat, but it confuses the lines of accountability between the board and the CEO for the organization.
Carver offers a framework for changing all that by forcing the board to rethink all of its policy with an eye toward board-determined policies that operate at the highest level possible. In Carver's approach only four types of policies need to be set by the board: 1) "Ends" policies (board expectations), 2) Executive Limitations (the "don'ts" for the organization), 3) Board process policies and 4) Board-CEO relationship policies. *Everything* you need to be involved in can be fit into one of these four categories.

Mr. Carver presents a very readable way of looking at how governing boards should work. His theories are logical and his arguments pursuasive. He offers board members an intellectual framework to consider how their organizations are running. The book is prescriptive, but not preachy. I was very surprised to find it sensible after hearing so much hype from "converts" to his method.

This book is the best enchiridion for any kind of studies in finance. All students are advised to read it;they will find it useful, not only due to its deep and scrutable meanings, but also because it awakes profound questions to the reader and urge him to make his own research on a sector in finance which is still in its infancy.
This handbook helped me a lot with my dissertation, as it concentrates in its pages various and many topics on corporate finance.
Excellent Theoretical Approach .......2006-04-06
Even a few years ago the theory of corporate finance was relatively simple. To be sure, everyone knew that the models weren't perfect. The close cooperation between favorite trading partners and/or between companies and their governments, the impact of taxes, currency issues, and a whole raft of financing instruments that never existed before has forced drastic changes in the basic theories of corporate financing.
This book employs a single, elementary model in order to illustrate the main economic insights. While this approach doesn't take into account all of the various extentions that more complex models might give, it is much easier for the student to get accustomed to one model and then to modify it as circumstances warrent.
This book is aimed at the advanced undergraduate student, or more likely one at the graduate level. While not nearly as mathematically oriented as some books, this one does include enough that the student should consider calculus as a prerequisite.
All in all, this book does a supurb job of developing a theory that reflects the real world as it exists today.
Superb.......2006-02-05
Tirole's book is one of the very few formal texts to cover corporate finance theory. It is structured around a few basic models which are changed/extended in myriad ways in order to illuminate this or that topic. This allows the reader to cover a lot of ground with minimal investment.
I have taught a master's level finance course based on the notes that the book is built on and found it a pleasure.
I found it useful to cover some basics of principal agent theory before covering Tirole's material, as some knowledge of information economics is assumed. Laffont and Martimort's book makes the transition smooth as they essentially use the same basic two action two outcome setup as Tirole's first couple of chapters.
I very much doubt that a superior book will appear on the shelves for some time, that is of course, until Tirole decides to update his text some years from now.
Good PhD book.......2006-02-04
This is definitely a good PhD-level book on Corporate Finance. It is based on Jean Tirole's lecture notes at Toulouse and definitely follows his research style. It uses theoretical models with agency problems to explain several empirical findings of corporate finance. A great purchase for grad students interested in financial THEORY.

Compliance and Conviction.......2007-03-19
This book provides a very thorough view of many activities taking place in the corporate environment. The authors are very seasoned and passionate about their work. The academic value is substantial. For those interested in peering inside the boardroom and gaining a perspective of an active leader in the corporate boardroom, I highly recommend that you read Compliance and Conviction: The Evolution of Enlightened Corporate Governance by Curtis J. Crawford, Ph.D. In his book, Dr. Crawford discusses why and who should care about corporate governance. He provides a historical perspective on the topic while focusing on succession planning, chief executive officer (CEO) supervision, executive compensation, and director independence. It is a fascinating book.
Too much stuff, too little structure.......2006-03-08
I do not like this book.
1. It lacks structure. The book flows in all direction at the same time, desperately looking for a purpose.
2. The clutter is overwhelming and the 400+ pages fail to reveal the purpose of the book. I see two alternatives - a review of corporate governance directed to non-academic use or an academic textbook in corporate governance directed to advanced undergraduate and graduate students. No book can accomplish both without failing in one of the two. I believe this book is a poor, but the only, choice as a textbook in US corporate governance. Mallin's corporate governance book is in many ways superior to Monks and Minow. Blair's book explains the same problems as Monks and Minow does in 60 pages.
3. The book does not figure out the main issues in corporate governance and structure the book around them. The three ideas, ownership - monitoring - performance, the book uses are too artificial and overly simplistic and this simplicity is completely lost in the book. Actually, these three ideas are the only clear areas in the book. I would suggest the following "great themes". Ownership, management, control, performance, and stakeholders is probably a better way to look at the main areas in corporate governance that the existant.
5. The ideas of corporate governance are either "best practice" or what is "a failure". You cannot economize explanations, but the book has scores of marginal areas that seem to overwhelm and confuse the readers without belonging to "best practices" or " failures". These marginal cases, references, thoughts, and ideas make it almost impossible to understand what is the purporse of the discussion. Case in point: dealing with greenmail under the board of directors?
6. The book is long.
7. Either add more cases to the book, or offer the cases separately. Make sure that the cases are even. Having a 20 page case on GM is excellent.
8. As a trained lawayer, I have not had any problems following the book. As a finance PhD doing research in corporate governance, I have no problems following the book. But any non-lawyer or layman, is likely to find the material frustrating, overwhelming and muddy. The material is not accessible, barely understandable, and hardly beneficial to the average reader (who is very unlikely a JD with a finance PhD).
An academically oriented book........2001-04-24
Would be an excellent tome for students of business. Also would be applicable for folks who are more interested in the corporate governance from a policy side. It's focus is publicly held companies, so if you're looking for a practitioners guide on how to 'get things done' in a startup world, this book doesn't address any of that. That doesn't make it a bad book, it just has it's focus on public companies.

If you want a single-volume resource on the topic of corporate governance, I urge you to beg, borrow, steal--or better yet, in the spirit of free enterprise, buy with a click from Amazon--Corporate Governance, now heading for another printing due to popular demand. Monks, a former Labor Department official, and Minow, an attorney by training, go beyond the "letter" of corporate governance and into its spirit in this monumental work, a sequel to their Power and Accountability (1991). Whether you are searching for sweeping theories, or simply want a place to look up key phrases from "agency costs" to "zones of ambiguity;" whether you want to travel through General Motors history or revisit Ross Perot's "pet rocks" quip, you will find what you are looking for here. "What is a corporation?" the authors begin. "It is the relationship among various participants in determining the direction and performance of corporations." Monks and Minow go on to define these participants as the shareholders, management, and board of diretors, devoting a section to each. Then comes an overview of corporate governance in over a dozen countries. One of the best features in the book is the series of Socratic questions that appear in italics throughout. One follows: "How do we create a governance and ownership structure that gives employees the optimal role, from the perspective of fairness (to maximize their contributions) and productivity (to maximize their future contributions?)" How indeed? Read this book to find out.

Carver guides are very god for the non profit board.......2005-07-20
This is the secong not-for-profit organization that I have directed. I have used this guide and the subsequent Carver guides to help with organizing and direction setting. Volunteer board members always respond well to the material. It is easy to understand yet the Carver model is very comprehensive. I would recommend this to any organization that is engaged in charitable work.
Excellent overview of Carver's Policy Governance theory ........1998-10-30
This first in a 12-part series of general guides on Policy Governance is a great introduction to author John Carver's new approach to nonprofit board development. Basically, this approach clearly separates the roles of board and staff as they go about their separate but related jobs of organizational governance and management. Policy Governance clarifies these roles through policy development and permits the board---governing as a body---to control the management and direction of the organization in a global policy approach. This guide is a good start in grasping the concepts of the approach.

good review for corporations class. it is based on the model code, and sometimes DE. but if you need NY law, this book doesn't help that much. but the explanations are clear and interesting.

REINVENTION of Reinventing Your Board.......2006-09-10
I have not yet completed reading this new edition so this is initial views only. I have closely read and noted changes in a couple of chapters. First impressions are that the language has got less formal and therefore the book is greatly more readable, and less formidable for the first time serious investigator of governance and Policy Governance. Secondly the years between the first edition and this one has seen some maturing of Policy Governance and this shows in the book with an increased clarity around the description of the theory, and a much improved, and more complete description of ways to implement the model, and much more detail around those practical steps... the chapter on Monitoring Organisational Performance is just so hugely more intelligible in this edition.
It is so pleasing to see an update of this outstanding book. This is a very worthwhile addition to your governance library whether you are a Policy Governance afficiando or not!
